By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use our Services.

1. Description of Services

Pending is a secure, AI-powered real estate transaction platform designed to facilitate collaboration among brokers, agents, transaction coordinators, and clients ("Users"). Our Services include Deal Rooms for document storage and organization, task tracking, electronic signature workflows, and AI-assisted document processing.

No Professional Advice: Pending is a technology platform. We do not provide legal, financial, tax, or real estate advice. Any information provided through the Services, including AI-generated summaries or classifications, is for informational purposes only and should not be relied upon as professional advice. You should consult with qualified professionals for such advice.

2. User Roles and Access

Access to specific features and data within Pending is determined by your assigned role (e.g., Broker, Agent, Transaction Coordinator, Client) and your membership in specific Deal Rooms.

  • Responsibility: You are responsible for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account.
  • Authority: If you are using the Services on behalf of an organization (e.g., a Brokerage), you represent that you have the authority to bind that organization to these Terms.

3. Acceptable Use

You agree not to:

  • Use the Services for any illegal purpose or in violation of any local, state, national, or international law.
  • Upload or transmit any content that infringes upon the intellectual property rights of others.
  • Attempt to bypass or break any security mechanism on any of the Services.
  • Reverse engineer the Services.

4. AI Features

Our Services utilize Artificial Intelligence ("AI") to assist with tasks such as document organization and summarization. By using these features, you acknowledge:

  • Informational Nature: AI outputs are generated automatically and may be incomplete or inaccurate. They are not authoritative determinations.
  • Verification: You are solely responsible for reviewing and verifying original documents and independent data sources. You should not rely solely on AI-generated outputs for critical decision-making.

5. Intellectual Property

The Services, including all text, graphics, user interfaces, visual interfaces, photographs, trademarks, logos, sounds, music, artwork, and computer code, are owned, controlled, or licensed by or to Pending and are protected by copyright, patent, and trademark laws, and various other intellectual property rights.

6. Disclaimers and Limitation of Liability

As Is: THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED.

Limitation: TO THE MAXIMUM EXTENT PERMITTED BY LAW, PENDING SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY.

7. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on our website or through the Services. Your continued use of the Services after such changes constitutes your acceptance of the new Terms.
